Acceptance and professional relationship
These Terms and Conditions govern your use of the James Wright, CPA, LLC ("we," "us," or "our") website and client portal. By using either service, you agree to these terms and our Privacy Policy. If you use the portal for a business, you represent that you are authorized to act for that business.
Website content is general information and is not accounting, tax, legal, investment, or financial advice. Website or portal use alone does not create a CPA-client relationship. Professional services are governed by a separate engagement letter or other written agreement, which controls if it conflicts with these terms.
Client portal accounts
The portal may allow authorized clients to view account information, access invoices, download documents, upload tax documents, review payment history, and make payments. You agree to provide accurate information, keep your password confidential, use reasonable security precautions, and notify us promptly of suspected unauthorized access. You are responsible for activity performed through your account unless caused by our failure to use reasonable safeguards.
You may not access another client's information, share portal access with an unauthorized person, probe or disrupt the portal, upload malicious content, or use the portal for unlawful purposes.
QuickBooks Online invoices
The portal may retrieve and display invoices from our QuickBooks Online records that are mapped to your client account. Portal access does not provide direct access to our QuickBooks Online account. Invoice availability and synchronization may be delayed or interrupted, and the records maintained in our accounting system control if portal information is incomplete or temporarily inconsistent.
QuickBooks and Intuit are trademarks of Intuit Inc. Our use of QuickBooks Online does not imply that Intuit sponsors or endorses this website or portal.
Invoices and payments
You are responsible for reviewing invoices and promptly reporting questions or suspected errors. Amounts are due according to the applicable invoice or engagement agreement. Payments may be handled by third-party processors under their own terms. A portal confirmation does not waive our right to correct processing errors, declined transactions, duplicate credits, or incorrect invoice balances.
Do not submit sensitive tax information, full payment credentials, or other confidential documents by text message. Use the client portal or another method approved by our firm.
Text messaging program
By checking the consent box and submitting your mobile number, you agree to receive recurring informational and marketing text messages from James Wright, CPA, LLC, including messages about appointments, tax and filing deadlines, requested documents, invoices, service updates, and firm news. Messages may be sent using an autodialer. Consent is not a condition of purchasing goods or services. Message frequency varies. Message and data rates may apply.
Reply STOP to any message to unsubscribe. After you opt out, we may send one final confirmation message. Reply HELP for help, call 901-363-1544, or email jwright@thewrightsolutions.net. Carriers are not liable for delayed or undelivered messages. You represent that you are the subscriber or customary user of the number provided and agree to notify us if that number changes.
Text messages are not guaranteed to be secure or confidential and should not be used for urgent requests or to transmit Social Security numbers, tax documents, banking information, passwords, or other sensitive information.
Third-party services
The website and portal may rely on third-party services, including QuickBooks Online, payment processors, identity providers, and communications vendors. Their services may be subject to separate terms and privacy policies. We are not responsible for third-party systems outside our reasonable control.
Availability and termination
We may update, suspend, restrict, or discontinue portal features when reasonably necessary for maintenance, security, legal compliance, or account administration. We may disable access for misuse, suspected compromise, termination of the client relationship, or violation of these terms. You remain responsible for retaining copies of records you are required to keep.
Disclaimer and limitation
We use reasonable efforts to maintain accurate and available online services, but the website and portal are provided on an "as available" basis. To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages arising from website or portal use, third-party service interruptions, or telecommunications failures. Nothing in these terms limits obligations or liability that cannot legally be limited.
Changes to these terms
We may revise these terms periodically. Changes will be posted on this page with a new "Last updated" date. Continued use after changes become effective constitutes acceptance of the revised terms.
